End User License Agreement (EULA)

Effective Date: 14.8.2023

This End User License Agreement (the "Agreement") is a legal agreement between you (the "Licensee") and Areteal Audio (the "Licensor") for the use of the VE Pro Controller for Logic Pro X Plugin (the "Plugin"). By installing or using the Plugin, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to the terms and conditions of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable license to use the Plugin for personal or commercial purposes in accordance with the terms specified herein.

2. Permissions and Restrictions

Permissions

The Licensee is granted the following permissions under this Agreement:

• Use and Modify: The Licensee is permitted to use, modify, and customize the Plugin's source code for personal, educational, and commercial purposes.
• Distribute: The Licensee may distribute, share, and sublicense the Plugin, including modified versions, as long as the terms of this Agreement are maintained.

Restrictions

The Licensee is encouraged to embrace the open-source ideology and is restricted from taking actions that contradict these principles:

• Attribution: The Licensee must provide proper attribution to the original work, including indicating any modifications made, when distributing or sharing the Plugin.
• Derived Works: If the Licensee creates a derivative work based on the Plugin, the resulting work must also be open-source and subject to the terms of this Agreement.
• Respect for Freedom: The Licensee shall not impose any additional restrictions, limitations, or fees on recipients of the Plugin or derivative works that would hinder their freedom to use, modify, and share the software.
• Unlawful Activities: The Licensee shall not use the Plugin for any unlawful, harmful, or malicious activities, or in any way that could compromise the integrity of the open-source community.

By using and distributing the Plugin, the Licensee acknowledges the importance of collaboration, transparency, and community-driven development in the spirit of open-source software.

3. Intellectual Property

The Plugin and all associated intellectual property rights are owned by the Licensor. The Licensee acknowledges that no ownership or rights to the Plugin are transferred under this Agreement.

4. Payment and Contributions

While the Plugin is available for free download, the Licensee may choose to contribute funds to support its development. Any contribution is voluntary and non-refundable.

5. Warranty Disclaimer

The Plugin is provided "as is," without any warranties or representations, express or implied. The Licensor does not warrant that the Plugin will be error-free or that it will function without interruption.

6. Limitation of Liability

In no event shall the Licensor be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from the use of the Plugin.

7. Termination

This Agreement shall automatically terminate if the Licensee breaches any of its terms. Upon termination, the Licensee shall cease all use of the Plugin and destroy any copies in their possession.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Finland. Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Finland.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the Plugin and supersedes all prior agreements, understandings, and communications, whether oral or written.

By installing or using the VE Pro Controller for Logic Pro X Plugin, you agree to be bound by the terms of this Agreement.
